Revenue vs. Owner's Benefit: Why They're Not the Same Thing
Two restaurants can post identical revenue and sell for completely different prices. Here's the number that actually explains why.
It's a natural instinct: bigger revenue should mean a bigger sale price. But a $2M-revenue restaurant with thin margins can be worth less than a $900K-revenue restaurant that runs efficiently. Buyers aren't purchasing your top line — they're purchasing what's left over once everything is paid for, plus the personal benefit you get from owning the place.
Two restaurants, same revenue, different reality
Imagine two neighborhood restaurants, each doing $1.2M in annual revenue.
Same revenue. Wildly different value. At a typical 2.5x multiple, Restaurant A is worth roughly $450,000. Restaurant B, at the same multiple, is worth about $100,000 — even though both did the exact same volume of business last year.
Where owners usually get surprised
Most owners underestimate their own SDE, not overestimate it, because they don't add back the personal benefits woven into the business:
- Your own salary or draw — this gets added back, since a buyer will pay themselves instead
- A vehicle, phone, or portion of health insurance run through the business
- One-time expenses that won't recur (a single bad year of repairs, a lawsuit, a one-off marketing push)
- Interest and depreciation, which are financing and accounting artifacts, not real cash costs to a new owner
A good accountant or business appraiser will walk through your P&L line by line to find these — it's common for SDE to end up 20-40% higher than what a quick glance at "net profit" would suggest.
Why this matters before you even talk to a buyer
If you go into conversations thinking about revenue, you'll misjudge your own leverage — either underselling yourself because your margins are actually healthy, or getting an unpleasant surprise when a buyer's number comes in lower than your gut feeling. Knowing your real SDE, calculated properly, is the single most useful number you can walk in with.
